These Terms of Service ("Terms") govern your access to and use of the Booked55 platform, including the web application, API, MCP server, and related services (collectively, the "Service") provided by Booked55 ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this requirement and that you have the authority to agree to these Terms on behalf of yourself or the organization you represent.

2. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

If you create an account on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Use of the Service

3.1 Permitted Use

You may use the Service for lawful business purposes in accordance with these Terms. This includes managing contacts, companies, events, tasks, pipelines, campaigns, and using AI-powered features as part of your workflow.

3.2 Prohibited Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Upload or transmit malicious code, viruses, or harmful data
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Reverse-engineer, decompile, or disassemble any part of the Service
Use the Service to send unsolicited bulk communications (spam) in violation of applicable anti-spam laws
Scrape, crawl, or use automated means to extract data from the Service beyond approved API usage
Resell, sublicense, or redistribute the Service without our prior written consent
Interfere with or disrupt the Service or the infrastructure supporting it

4. Your Data

4.1 Ownership

You retain all rights to the data you upload, create, or import into the Service ("Your Data"). We do not claim ownership of Your Data. You grant us a limited, non-exclusive license to host, process, and display Your Data solely as necessary to provide the Service to you.

4.2 Data Responsibility

You are responsible for the accuracy and legality of Your Data. If you import personal data of third parties (such as contacts), you are responsible for ensuring you have the appropriate legal basis to do so under applicable privacy laws.

4.3 Data Portability

You may export Your Data at any time through the Service's built-in export features or by contacting our support team.

5. AI Features

The Service includes AI-powered features such as email drafting, contact enrichment, company search, and MCP server integrations. These features are provided as productivity tools. AI-generated content is a suggestion and may contain inaccuracies. You are responsible for reviewing and approving any AI-generated output before acting on it or sending it to third parties.

We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

6. Third-Party Integrations

The Service allows you to connect third-party services such as Gmail, Google Calendar, and external AI clients via MCP. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the practices of third-party services.

7. API and MCP Server Usage

Access to the Booked55 API and MCP server is subject to rate limits and usage policies. API keys are confidential and should not be shared. You are responsible for all activity conducted through your API keys. We reserve the right to revoke API access if usage violates these Terms.

8. Fees and Payment

Certain features of the Service may require a paid subscription. Fees are described on our Pricing page. All fees are non-refundable except as required by applicable law or as otherwise stated at the time of purchase. We reserve the right to change pricing with reasonable notice.

9. Intellectual Property

The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by Booked55 and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

10. Termination

You may close your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOOKED55 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Booked55, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Ontario, Canada.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
